Advertising - Terms and Conditions

1. Ad Placement Conditions and Statistical Review

1.1 TodaysFaith.com agrees to place ad impressions on behalf of Advertiser, which will continue to be placed for the term of this Agreement.

1.2 TodaysFaith.com agrees to provide Advertiser with reports generated by TodaysFaith.com software of activity, actual clicks and impressions.

2. Ad Rates/Billing

2.1 Advertising is purchased on a time basis and will be pre-billed for all campaigns.

3. Creative

3.1 Creative provided by Advertiser must meet all of the following requirements:

a. Banners must be no more than 30k.

b. .GIF & .JPG & Flash format are accepted.

3.2 TodaysFaith.com reserves the right to disallow and/or cease the use of particular banners based on TodaysFaith.com's discretion, whether or not such decision is based upon performance. There is no obligation for TodaysFaith.com to use any banners submitted by Advertiser. If TodaysFaith.com decides not to use any such banner, TodaysFaith.com will return to Advertiser money paid by Advertiser and TodaysFaith.com shall have no further obligation to Advertiser.

3.3 Advertiser agrees that it is solely responsible for the content of all visual and written communications in its ad banners. Advertiser agrees that it is responsible for all art contained within such banners and must own all rights to all art included in such ad banners. Advertiser agrees not to include any material that is harassing, libelous, threatening, obscene, indecent, ungodly, blasphemous, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation. Although TodaysFaith.com is not responsible for any such communications, TodaysFaith.com may disallow or cease the use of any ad banners including such material of which TodaysFaith.com becomes aware, at any time and for any reason without notice. In the event TodaysFaith.com ceases the use of any ad banners, TodaysFaith.com will return any remaining monies on account to Advertiser and TodaysFaith.com shall have no further obligation to Advertiser.

4. Consumer Data

4.1 Advertiser guarantees that data regarding consumers gained by this campaign will be only used for legal purposes and Advertiser will indemnify, defend and hold harmless TodaysFaith.com from any and all losses, liabilities, claims, obligations, costs, expenses (including without limitation reasonable attorney's fees) which result from any claim of damages brought or sought against TodaysFaith.com that alleges consumer data gained by this campaign was used for any purpose in violation of any applicable laws. The indemnity obligations of this paragraph are contingent on TodaysFaith.com giving prompt written notice of any such claim. TodaysFaith.com will have sole control over the litigation or settlement of such claim. The provisions of this Paragraph 5.1 shall survive the termination of this Agreement.

5. Warranties and Representations

5.1 TodaysFaith.com agrees to reproduce any copyright or other proprietary notices included in the ad banner provided by Advertiser to TodaysFaith.com.

5.2 TodaysFaith.com makes no guarantees or representations as to the level of sales or purchases that Advertiser can expect from the clicks generated by banner advertising with TodaysFaith.com.

6. Indemnification by Advertiser

6.1 Advertiser shall indemnify, defend and hold harmless TodaysFaith.com from any and all losses, liabilities, claims, obligations, costs, expenses (including without limitation reasonable attorney's fees) which result from any claim of damages brought or sought against TodaysFaith.com as a result of the placement of the Advertiser's ad banner. This includes, but is not limited to, payment of copyright royalties, other royalties, or any damages resulting from any intellectual property or other infringement claims. The indemnity obligations of this paragraph are contingent on TodaysFaith.com giving prompt written notice of any such claim. TodaysFaith.com will have sole control over the litigation or settlement of such claim.

6.2 The provisions of Paragraph 6.1 shall survive the termination of this Agreement.
